RETAIL FONT SOFTWARE END USER LICENSE AGREEMENTS (EULA)
Version 2.0 March 2019
By downloading and/or installing Font Software by Tokotype, you agree to be bound by the following terms and conditions of this End User Licensing Agreement (EULA). If You do not agree to the terms of this Agreement, do not download, install, or use the Font Software.
A. DEFINITIONS
Fonts Software Ñ Fonts Software or (Fonts, Typeface) technically a file component software provided by Tokotype for use on computer devices, web servers, or application to generate typographic design assets used by end users.
Tokotype Ñ Tokotype is the main supplier and original publisher of Font Software and as the exclusive owner of the Font Software and related documents as offered on www.tokotypefaces.com sites. All intellectual property of Font Software belongs to Tokotype.
Licensee Ñ The licensees is an individual, company, or other organizations who purchases and use a Fonts Software as a subject on this license agreement, other licensees must belong in the same company, household or listed on the license holder name as specified on receipt.
B. OWNERSHIP
You agree that the Font Softwares and its copyright are owned by Tokotype as exclusive owner of all intellectual property rights. You do not acquire ownership of Font Software in any conditions under this Agreement, but you grant to use the Font Software as specified in this agreement.
C. GRANT OF LICENSE
Tokotype grants the Licensee a non-exclusive and non-transferable license for your personal or commercial use based on these terms of agreement. The maximum number of End Users of this Fonts Software depends on the amount stated on the license type of Font Software.
In addition, we offer the license options parted into the three types of licenses, the license type name does not represent the entity to use this type of license, this is only a name on scale basis, for example:
Studio License: For use up to 6 individuals/users with an unlimited page views per month & domains for website, and unlimited app download for apps/epub.
Agency License: For use up to 18 individuals/users with an unlimited page views per month & domains for website, and unlimited app download for apps/epub.
Enterprise License: For use up to 64+ individuals/users with an unlimited page views per month & domains for website, and unlimited app download for apps/epub.
D. AUTHORIZED USE
Fonts can be simultaneously used by the number of individuals/users as specified in the each license type and purchase receipt. You must ensure that the maximum number of users get a copy of the Font Software and other complementary documents for each different computer devices, websites, and application program must be the same as the original.
D.1 INSTALLING & EMBEDDING
Licensee may install the files from Font Software on computer devices (CPUs), and embedding in website servers and application program. In accordance with the licensee name (individual or company) mentioned in the licensee information and purchase receipt. Font Software may not be installed on computer devices, servers, or app program that do not belong to licensee. Transferring licenses and Sub-licensing are strictly prohibited to third parties except those described in this license agreement.
D.2 PRINT & DOCUMENTS USAGE
You may use the Font Software to create graphics that displayed on a computer screen for create graphical images, products, printed materials, paper documents for yourself and your client behalf, as long as they are static and not editable. For usage in application development, you may embedded and installed in documents, broadcasting program, or applications for viewing, printing, and editing, you may use it for all platform, this means there is no downloads limitations, and bound by a contract.
D.3 SELF-HOSTED WEBSITE SERVER EMBEDDING
Use web fonts formats to embedded and installed on you web server by using self-hosting @font-face method with files that we provide, you may use it for your main & sub-domain, this means there is no bandwidth restriction, geographical limitations and you have unlimited page views for your website.
E. CLIENTS & THIRD PARTY
You may grant Font Software to your client, developer, etc. only if they work specifically with you if they agree to use the Font Software for your work and agree to the terms of this license. The Licensee may not sell, lease, sublicense, lend, give, or distribute the Font Software or make the Font Software accessible to other third parties.
F. BACKUPS
You may make back-up a copies of Font Software for archive only as long the Licensee hold the rights and control over such copies. Any unauthorized copies s Each backup copy of Font Software must contain the license documents and other proprietary information must be the same as the original.
G. MODIFICATION
You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to discover the source code of the Font Software unless prior written authorization has been obtained from the Vendors. You do not have any rights to change the Font Software to a different format other than that provided by Tokotype.
H. TERMINATION
This agreement is valid until terminated by Tokotype. If you fail to comply with the terms of this license, Tokotype may terminate this agreement with notice within 30 days. After it expires, you must destroy the digital material of Font Software and all copies that have been used entirely.
I. WARRANTY
Tokotype guaranteed the Font Software meets the standard of operating system and latest technology and free from defects in materials and workmanship under normal use for a period of thirty (30) days from the date of delivery as indicated on the purchase receipt.
Tokotype provides no warranty and not responsible for replacing Fonts Software or returning the purchase price if the result of failure from accident, misuse or improper use, or if any document of Font Software is lost or damaged, fire, or negligence of the Licensee.
J. GOVERNING LAW
This agreement governed by the laws of Indonesia. Under intellectual property rights section |
